These Terms of Service (the “Terms”) govern your access to and use of the NDIDI website and related online services (the “Site”). The Site is operated by NDIDI (“NDIDI,” “we,” “us,” or “our”). Please read these Terms carefully before using the Site.
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Site.
DISCLAIMER
Your use of the Site is at your sole risk. The Site and all content, products, and services made available through the Site are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied.
To the maximum extent permitted under applicable law, including New York law, NDIDI disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow limitations on implied warranties, so certain disclaimers may not apply to you.
NDIDI does not warrant that the information, content, or merchandise on the Site is accurate, complete, reliable, current, or error-free. Product descriptions, pricing, and availability are subject to change at any time without notice and do not constitute binding offers.
To the fullest extent permitted by law, NDIDI shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of or inability to use the Site, including loss of profits, data, or business opportunities. Nothing in these Terms limits liability that cannot be excluded under applicable law.
NDIDI assumes no responsibility for, and shall not be liable for, any damage to your computer system or device, or loss of data, resulting from your access to or use of the Site.

“NDIDI” and all related names, logos, product names, designs, and slogans are trademarks or service marks of NDIDI in the United States and other jurisdictions. These marks may not be used without our prior written permission or in any manner likely to cause confusion, misrepresentation, or disparagement.

COPYRIGHT AND PROPRIETARY RIGHTS
All content on the Site, including but not limited to text, graphics, images, photographs, videos, logos, designs, software, code, and the overall look and feel of the Site (collectively, the “Content”), is owned by NDIDI or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.
You may view, download, and print limited portions of the Site solely for your personal, non-commercial use and for placing orders with NDIDI. You may not copy, reproduce, modify, distribute, publish, create derivative works from, sell, or exploit any Content without our prior written consent.
Nothing in these Terms grants you any ownership or license rights in NDIDI’s intellectual property.
USER COMMUNICATIONS
Any communication or material you submit to the Site, including reviews, comments, feedback, suggestions, or other content (“User Content”), will be treated as non-confidential and non-proprietary.
By submitting User Content, you grant NDIDI a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, modify, publish, translate, distribute, and display such content for any lawful business purpose. You also grant NDIDI the right to use the name or handle you submit in connection with such content.
You represent that you have all rights necessary to submit such content and that it does not violate any third-party rights or applicable laws.
LINKS TO THIRD-PARTY SITES
The Site may contain links to third-party websites. NDIDI does not control and is not responsible for the content, policies, or practices of any third-party sites. The inclusion of a link does not imply endorsement.
SHOPPING ON NDIDI
NDIDI does not guarantee or warrant any product or service not manufactured or provided directly by NDIDI. You are responsible for supervising any minors who use your account or device to access the Site.
ORDER ACCEPTANCE
Order confirmations acknowledge receipt of your order but do not constitute acceptance. NDIDI reserves the right to refuse, cancel, or limit any order for any reason, including availability, pricing errors, or suspected fraud.
An order is not accepted until the products are shipped and a shipping confirmation is sent.
ORDER PROCESSING
Orders are processed Monday–Friday, excluding major holidays, and typically ship within 3–7 business days. Processing and shipping times are estimates and not guaranteed.
Order cancellations or address modifications may not be accepted after an order is placed.
FINAL SALE
Items marked as FINAL SALE are not eligible for cancellation, modification, return, or refund, except where required by applicable law.
NO PURCHASE FOR RESALE / BULK ORDERS
Purchases are for personal use only and not for resale. NDIDI reserves the right to refuse or cancel orders suspected of resale or bulk purchasing.
Bulk orders may be excluded from free shipping and may not be eligible for cancellation or returns.
COLOR DISCLAIMER
We make reasonable efforts to display product colors accurately; however, actual colors may vary depending on your device or monitor settings.
DELIVERY AND PARTIAL SHIPMENTS
NDIDI will use reasonable efforts to deliver products in a timely manner, but delivery dates are not guaranteed. NDIDI is not liable for delays beyond its control.
We reserve the right to ship orders in multiple deliveries.
RETURNS
Returns are subject to NDIDI’s return policy and approval process. Returned items must be unused, in original condition, and include original packaging and tags. Abuse of the returns process may result in account termination.
PRIVACY
NDIDI complies with applicable federal and New York State laws regarding the collection and use of personal information, including the New York SHIELD Act. Please review our Privacy Policy for details.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless NDIDI from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising out of your use of the Site or violation of these Terms.
CHOICE OF LAW AND VENUE
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York, New York, and you consent to their jurisdiction.
TERMINATION
NDIDI may suspend or terminate your access to the Site at any time, without notice, for violation of these Terms or applicable law. Upon termination, you must cease all use of the Site and destroy any downloaded materials.
SHIPPING ISSUES
NDIDI is not responsible for packages confirmed delivered by carriers but reported as lost or stolen. Please contact your payment provider or carrier for assistance.
INTERNATIONAL ORDERS
International orders may be subject to duties, taxes, and import fees, which are the responsibility of the customer. NDIDI is not responsible for reimbursement of such charges upon return.
PROMOTIONS, CONTESTS, AND RAFFLES
Promotional offers, contests, raffles, and sweepstakes are subject to additional rules and eligibility requirements. NDIDI reserves the right to modify or cancel promotions at any time due to error, fraud, or unforeseen circumstances.
ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and NDIDI regarding the use of the Site and supersede all prior agreements or communications. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
